Terms & Conditions | TaxPower TDS

Effective Date: 23/08/2026 

These Terms & Conditions (“Terms”) contain provisions relevant to use of taxpowertds.com and to TaxPower TDS-related interactions coordinated by Dharankar Business Solutions Pvt. Ltd. (“DBS”).

The underlying TaxPower TDS software is developed, sold/licensed and operated under the licensing system of Magnum Infosystem Pvt. Ltd. (“Magnum”). Where applicable Magnum Software Licence Terms, an EULA, invoice, quotation, proforma invoice or other contractual documentation governs an aspect of the software licence or transaction, that documentation applies together with these Terms according to its respective scope.

1. Parties and Product Relationship

TaxPower TDS is developed and licensed by Magnum Infosystem Pvt. Ltd.

DBS is a primary dealer of TaxPower software and provides activities including:

  • product information;
  • sales coordination;
  • trial coordination;
  • implementation;
  • installation assistance;
  • training;
  • first-line support;
  • renewal coordination;
  • payment coordination where applicable.

Magnum remains responsible for the underlying TaxPower software licence and licensing system, issues the software invoice and ultimately controls licence activation and renewal.

Nothing in these Terms makes DBS the owner or developer of TaxPower TDS, an exclusive distributor, the sole authorised representative of Magnum, or an agent authorised to bind Magnum beyond any authority actually granted.

2. Scope and Acceptance of These Terms

Website Use

Use of this website is subject to those website-use provisions of these Terms that are relevant to browsing and use of the website.

Mere browsing of the website does not, by itself, mean that a visitor has accepted or entered into the full TaxPower TDS software-purchase or software-licence contract.

Trial Requests

A person requesting a TaxPower TDS trial is required to expressly accept the applicable Terms before submitting the Trial request.

That acceptance governs the aspects of the Trial and DBS-related services to which these Terms apply, together with any applicable Magnum licence or Trial conditions.

Purchase Requests

A person submitting a TaxPower TDS Purchase Request is required to expressly accept the applicable Terms before submitting the request.

Submitting a Purchase Request and accepting these Terms does not itself complete the software sale, issue an invoice or activate a TaxPower TDS licence.

Live Demo Requests

Submitting a Live Demo request primarily authorises DBS to contact the requester and coordinate the requested product demonstration.

A Live Demo request does not, by itself, create the full TaxPower TDS purchase or software-licence contract.

3. Relationship With Magnum Software Licence Terms

These Terms govern, as applicable:

  • use of the DBS-operated website;
  • DBS enquiry handling;
  • Live Demo and Trial coordination;
  • sales coordination;
  • implementation;
  • installation assistance;
  • training;
  • first-line support;
  • other DBS-specific customer interactions.

The applicable Magnum Software Licence Terms/EULA govern, as applicable:

  • the underlying TaxPower TDS software licence;
  • licence rights and restrictions;
  • activation and software-level licensing conditions;
  • authorised software use;
  • Magnum-specific contractual rights and obligations.

These Terms do not replace or rewrite Magnum’s underlying Software Licence Terms/EULA.

Where DBS Terms and Magnum documentation apply to different aspects of the same transaction, each applies within its respective scope. For matters concerning the underlying TaxPower TDS software licence, the applicable Magnum licence documentation governs those software-licence matters.

4. Website Use

You may use the website for lawful business, professional, product-evaluation, purchase and support purposes.

You must not:

  • interfere with or disrupt the website;
  • attempt unauthorised access;
  • introduce malicious software;
  • impersonate another person or organisation;
  • knowingly submit materially false information;
  • use the website unlawfully;
  • infringe intellectual-property rights;
  • misuse website forms or communication channels.

Website availability may occasionally be affected by maintenance, hosting, security or technical circumstances.

5. Product Information

We seek to provide current and useful information about TaxPower TDS.

Product functionality, Government-portal processes, statutory utilities, pricing, renewal policies, licence conditions and system requirements may change.

Website information should therefore be considered together with the current software build and any applicable:

  • quotation or proforma invoice;
  • Magnum invoice;
  • Magnum Software Licence Terms/EULA;
  • transaction-specific commercial communication.

Website content does not guarantee that every function applies to every customer, return period, statutory scenario or technical configuration.

6. Trial

TaxPower TDS may be offered for evaluation before purchase.

The currently approved Trial may provide up to 90 days and up to 3 TANs, subject to the applicable Trial configuration and terms.

The Trial may require:

  • registration;
  • assisted installation;
  • email or mobile verification;
  • activation;
  • technical configuration.

The Trial is intended for evaluation and is not a perpetual or unrestricted software licence.

Its scope and technical availability may also be governed by Magnum’s product and licensing systems.

7. Purchase Process

Submitting a website Purchase Request does not itself complete a sale.

The customer-facing purchase process may broadly be:

Purchase Request → Requirement Confirmation → Quotation / Proforma Invoice → Payment → Payment Confirmation → Licence Activation

DBS may coordinate these steps.

Magnum is the underlying software licensor and invoice issuer.

The customer should carefully review the applicable quotation, proforma invoice, licence documentation and payment instructions before making payment.

8. Payment

Payment may, depending on the transaction, be coordinated:

  • directly with Magnum; or
  • through DBS on behalf of Magnum.

Payment methods may include, where offered:

  • online payment or Razorpay;
  • online banking;
  • UPI;
  • cheque;
  • demand draft.

Where a cheque or demand draft is used for a Magnum software transaction, it should be drawn in Magnum’s name where instructed.

Customers must use the payment details provided in the applicable quotation, proforma invoice or confirmed commercial communication.

A licence activation or renewal is not completed until the relevant payment information and confirmation have been received and processed by Magnum.

9. Licence Activation

Magnum ultimately issues or activates the underlying TaxPower TDS software licence.

Activation may depend on:

  • confirmed payment;
  • customer information;
  • organisation details;
  • installation details;
  • Machine ID or other licence identifiers;
  • fulfilment of applicable licensing requirements.

DBS may assist with these matters but does not independently create the underlying Magnum software licence.

The customer must provide complete and accurate information about the customer type, organisation, professional or business status, and intended use relevant to the licence request. Magnum may verify the information provided and determine whether Professional Edition or Corporate Edition is appropriate for that customer and use case.

A request for a particular edition does not create an entitlement to that edition. Magnum reserves the right to issue the licence category it considers appropriate based on the information and intended use disclosed by the customer. The customer must not misrepresent, conceal or provide inaccurate information in order to obtain or use a licence category inconsistent with the actual customer type or approved use.

10. Financial-Year Renewal

TaxPower TDS operates under an applicable financial-year renewal model.

Under the current product practice:

  • the software may remain installed or capable of running even if the next financial-year renewal is not purchased;
  • a financial year for which the required renewal or payment has not been completed may remain unavailable for use;
  • under Magnum’s current licence policy, the licence may be deactivated after two consecutive financial years without the applicable renewal.

Renewal prices, renewal eligibility and licensing policies are controlled by Magnum and may change.

The applicable Magnum Software Licence Terms and renewal policy govern the underlying software-licence aspects of renewal.

11. Cancellation and Refund

The Trial is intended to allow prospective customers to evaluate TaxPower TDS before purchase where appropriate.

Subject to applicable law and any statutory rights that cannot lawfully be excluded:

  • a normal licence purchase or renewal is generally treated as non-refundable once the relevant transaction has been commercially completed and the licence or renewal has been activated;
  • cancellation after activation does not automatically create a refund entitlement;
  • where a genuine duplicate payment or excess payment has been received, the duplicate or excess amount may be returned after verification;
  • activation or renewal occurs after the relevant payment confirmation has been received and processed by Magnum.

Nothing in this clause removes any refund, cancellation or other right that applies mandatorily under applicable law.

12. Customer Responsibility

TaxPower TDS is a compliance software tool.

It assists with TDS/TCS workflows, but the customer, deductor and/or responsible professional remains responsible for professional and statutory decisions.

The customer must review and verify, where applicable:

  • source data;
  • deductor and deductee details;
  • PAN and TAN information;
  • tax rates;
  • statutory treatment;
  • tax calculations;
  • classifications;
  • challans;
  • return data;
  • corrections;
  • certificates;
  • validations;
  • reports;
  • filing output;
  • statutory interpretation;
  • applicable deadlines;
  • portal submission;
  • final authentication.

TaxPower TDS is not a substitute for professional judgement, legal advice, tax advice, statutory responsibility or independent verification.

13. Data and Input Accuracy

Software output depends in part on the data and instructions supplied by the customer.

The customer is responsible for checking:

  • imported information;
  • source records;
  • the selected deductor or TAN;
  • financial year;
  • return period;
  • tax treatment;
  • correction information;
  • challans;
  • calculations;
  • final return data.

A software validation result, FVU result, generated report or successfully generated filing file is not, by itself, a legal assurance that every underlying statutory treatment is correct.

14. TDS/TCS Compliance Responsibility

The customer or responsible professional is responsible for determining the appropriate statutory treatment for the customer’s facts and transactions.

Government rules, rates, forms, utilities and validation requirements may change.

Customers should consult the applicable official statutory sources and obtain professional advice where appropriate.

Support personnel may explain the software’s use and workflow but do not assume the customer’s statutory decision-making responsibility.

15. Final Filing and Authentication

The customer or authorised professional must review the applicable return before final filing.

Where a Government portal requires:

  • password;
  • authorised login;
  • OTP;
  • DSC;
  • final upload;
  • confirmation or authentication;

the customer or authorised person should retain control of that authentication and the final statutory submission.

Where Government-portal credentials are saved within the customer’s own TaxPower TDS database/environment for supported compliance workflows, that local storage does not by itself disclose or sync those credentials to DBS or Magnum. The customer remains responsible for controlling authorised access to those credentials and for the final statutory submission or authentication.

DBS and Magnum do not assume responsibility for a customer’s final filing decision merely because the software assists the filing workflow.

16. Government Portals and Independent Third Parties

TaxPower TDS may assist with workflows involving:

  • the Income Tax portal;
  • TRACES;
  • Government systems;
  • banking systems;
  • payment providers;
  • internet services;
  • remote-support or meeting providers;
  • other independent technologies.

DBS and Magnum do not control those systems.

Government or independent third-party downtime, maintenance, utility changes, technical failures, processing delays, authentication failures or policy changes may affect TaxPower TDS-related workflows.

Nothing on the website implies Government affiliation, approval or endorsement unless that status has been officially established.

17. Remote Support

DBS generally provides first-line support.

Remote assistance may be provided using UltraViewer, Microsoft Teams, Google Meet or another suitable support or meeting tool.

Remote support is provided with the customer’s knowledge and authorisation.

Where remote support is used:

  • the customer provides temporary session access;
  • the customer can terminate the session;
  • access should be limited to what is reasonably necessary for support;
  • the customer should retain control of passwords, OTPs and DSCs;
  • authentication credentials should not be permanently disclosed to DBS.

DBS does not routinely retain customer databases, screenshots or backups for its own storage.

If DBS cannot resolve a technical matter, it may escalate the issue to Magnum.

For a complex technical issue, Magnum may request a relevant database or file directly or through DBS. Any such transfer should occur with the customer’s knowledge or authorisation for the troubleshooting or support purpose.

18. Customer Systems, Backups and Security

TaxPower TDS is installed in the customer’s configured environment.

Customers remain responsible for reasonable administration and security of their own:

  • computers;
  • servers;
  • operating systems;
  • user accounts;
  • LAN/WAN configuration;
  • VPN;
  • customer-managed Windows VPS, where used;
  • internet connection;
  • passwords and authentication credentials;
  • backups.

TaxPower TDS may provide backup and restore functionality, but customers remain responsible for establishing and verifying an appropriate backup practice for their business.

TaxPower TDS may require Government-portal User IDs, passwords, PAN, TAN, GSTIN and other identifiers or credentials to be stored within the customer’s own TaxPower TDS database/environment for relevant compliance workflows. Except for software licence, activation, renewal and related licence-administration information, TaxPower TDS does not, as part of normal software operation, automatically transmit, sync or share the customer’s routine compliance data or saved portal credentials with DBS or Magnum.

Because TaxPower TDS is installed software, proper installation and operation may require the customer or its authorised system administrator to provide and maintain appropriate network and firewall permissions, database/service connectivity, user access rights and other local-system permissions required by the configured setup. The customer may also need to resolve antivirus or endpoint-security conflicts through appropriate authorised settings or allow-listing, and to provide operating-system administrator privileges where reasonably required for installation, updates, configuration or troubleshooting.

Any firewall, antivirus, endpoint-security, user-rights or administrator-level change should be made by the customer’s authorised system administrator in accordance with the customer’s own IT and security policies. The customer is responsible for ensuring that its local IT restrictions do not prevent the properly configured software from performing the functions required for the customer’s authorised workflow.

Nothing in this clause excludes responsibility that may arise under applicable law from DBS’s or Magnum’s own wrongful conduct.

19. Intellectual Property

TaxPower TDS, the TaxPower brand and associated software intellectual property are owned by Magnum under the applicable business and licensing arrangements.

DBS may own or hold rights to its own website content, service content, training material, documentation or other materials.

Use of the website, a Live Demo, Trial, purchase, implementation or support interaction does not transfer ownership of intellectual property.

A customer receives only those software rights granted under the applicable Magnum Software Licence Terms.

Subject to applicable law and the applicable licence, customers must not:

  • make unauthorised copies;
  • circumvent licensing controls;
  • reverse engineer protected software except where a non-waivable legal right permits it;
  • redistribute or sublicense software without authority;
  • unlawfully resell licences;
  • misuse trademarks or protected material.

20. Acceptable Software Use

Customers must use TaxPower TDS only within the applicable authorised and licensed configuration.

Customers must also use the Professional or Corporate Edition and licence category issued by Magnum for the disclosed customer type and approved use. Customers must not circumvent, misuse or knowingly operate contrary to the edition classification determined for their licence.

Customers must not intentionally:

  • bypass licence restrictions;
  • circumvent activation;
  • permit unauthorised software access;
  • misuse licence credentials;
  • use the software unlawfully;
  • distribute malicious software through systems used for support;
  • infringe Magnum’s or DBS’s rights.

The customer is responsible for access it grants to its own personnel or authorised users.

21. Updates and Statutory Changes

TDS/TCS law, Government utilities, validation rules and portal procedures may change.

Magnum may issue updates, revisions or workflow changes according to its applicable software and licensing policies.

DBS may assist with update and renewal coordination.

No representation is made that every statutory or Government-system change will be incorporated instantaneously.

Customers remain responsible for checking that the relevant current software version, statutory information and Government utilities are appropriate for the filing concerned.

22. No Professional, Tax or Legal Advice

The website, software demonstrations, product training, implementation assistance and software support are intended to assist use and evaluation of TaxPower TDS.

Unless separately agreed in a professional engagement, they do not constitute:

  • legal advice;
  • a tax opinion;
  • statutory representation;
  • an audit opinion;
  • assurance of statutory treatment;
  • replacement for the customer’s professional adviser.

23. Disclaimer

Dharankar Business Solutions (“DBS”) provides website information, software facilitation, implementation assistance, training, coordination and first-line support in connection with TaxPower TDS.

DBS does not warrant or guarantee any particular statutory, tax, compliance, filing, business or financial outcome from the use of TaxPower TDS. Customers remain responsible for reviewing their data, statutory obligations, filings, calculations and submissions before relying upon or submitting them to any authority.

TaxPower TDS is developed and licensed by Magnum. Any warranties, disclaimers, licence conditions or product-specific terms relating to the underlying software shall be governed by the applicable Magnum Software Licence Terms / End User Licence Agreement (EULA), documentation and applicable law.

Nothing in these Terms is intended to create any warranty or obligation on behalf of Magnum beyond those expressly provided by Magnum under its own applicable licence terms or documentation.

24. Limitation of Liability

To the extent permitted by applicable law, DBS shall be responsible only for matters arising from services directly provided by DBS, including website interactions, implementation assistance, training, coordination and first-line customer support.

DBS shall not be responsible for losses arising solely from the underlying TaxPower TDS software, including software functionality, product defects, licensing functionality or matters that fall within the responsibility of the software developer/licensor. Such matters shall be governed by the applicable Magnum Software Licence Terms / EULA, documentation and applicable law.

DBS shall not be liable for indirect, incidental, consequential or business losses arising from factors outside its reasonable control, including incorrect or incomplete data supplied by the customer, customer configuration or usage, third-party systems, government portals, internet or network failures, statutory portal availability, or changes in law, rules, procedures or external systems.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

25. Customer Indemnity

To the extent permitted by applicable law, the customer agrees to indemnify and hold DBS harmless from claims, losses, costs or liabilities arising from:

  • incorrect, incomplete, unlawful or unauthorised data or information provided by the customer;
  • misuse of services or access credentials provided through DBS;
  • violation of these Terms by the customer;
  • infringement of third-party rights caused by material, data or instructions supplied by the customer; or
  • actions taken by DBS in accordance with the customer’s authorised instructions.

This indemnity applies only to matters relating to DBS and the services provided by DBS under these Terms.

Any indemnity, liability allocation or similar obligation relating specifically to Magnum or the TaxPower TDS software licence shall be governed by the applicable Magnum Software Licence Terms / EULA and shall not be created or expanded by these DBS Terms.

26. Suspension, Deactivation and Termination

A software licence, activation, renewal or support process may be suspended, refused or deactivated where permitted under the applicable Magnum Software Licence Terms or applicable law, including circumstances involving:

  • non-payment;
  • applicable renewal status;
  • material licence misuse;
  • unauthorised copying or access;
  • security risk;
  • legal requirement;
  • material breach of the applicable software licence.

Under Magnum’s current licensing policy, a licence may be deactivated following two consecutive financial-year renewal gaps.

This provision operates subject to the applicable Magnum Software Licence Terms and does not independently enlarge DBS’s authority over the underlying software licence.

27. Force Majeure

To the extent permitted by applicable law, a party will not be liable for delay or failure caused by an event beyond its reasonable control, such as:

  • natural disaster;
  • war or civil disturbance;
  • Government action;
  • widespread telecommunications failure;
  • major internet or power failure;
  • serious cyber incident;
  • Government-portal outage;
  • comparable events beyond reasonable control.

This does not automatically cancel payment or other obligations that accrued before the event.

28. Severability

If a provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be applied to the maximum lawful extent or severed where necessary.

The remaining provisions will continue in effect to the extent legally possible.

29. Changes to These Terms

These Terms may be revised if:

  • the website changes;
  • DBS services change;
  • TaxPower TDS processes change;
  • commercial arrangements change;
  • applicable law changes.

The current version will be made available on the Terms & Conditions page of taxpowertds.com.

Changes to these website Terms do not retrospectively alter a completed transaction or remove statutory rights contrary to applicable law.

Changes to the underlying TaxPower TDS software licence remain subject to Magnum’s applicable licence arrangements.

30. Governing Law and Jurisdiction

These Terms are governed by the laws of India to the extent they govern the DBS website and DBS-provided or DBS-coordinated activities.

For matters specifically concerning DBS website use, DBS implementation, DBS training, DBS sales coordination, DBS first-line support or other DBS-specific services, disputes will be subject to the appropriate lawful courts, tribunals or other forums connected with DBS and Pune, Maharashtra, subject to any statutory jurisdiction or forum that cannot lawfully be excluded.

Matters concerning the underlying Magnum software licence, Magnum’s software-licence rights and restrictions, or Magnum-specific contractual obligations remain subject to the governing-law and jurisdiction provisions of the applicable Magnum Software Licence Terms/EULA or other applicable Magnum transaction documentation.

Nothing in this clause is intended to rewrite Magnum’s contractual jurisdiction or deprive any person of a statutory forum or remedy that cannot lawfully be waived.
